What is the difference between a governing board and an advisory board?
By law, every nonprofit must have a governing board. As the name indicates, the role of the board is to govern the organization. The board creates the vision, mission, values, and policies for the organization and makes sure that they are properly respected. Also, financial oversight is one of the key responsibilities of a nonprofit board.
An advisory council (or committee) usually functions like any committee of the board. It may be created for a specific purpose to assist the board in its work. For instance, advisory councils may focus on fundraising, provide technical assistance, assess the impact of a service or program, and serve as an advocate or a public relations representative for the organization. Advisory council members have no legal responsibilities; they have no vested right to serve; and no immunity from removal. It is wise to limit the council's actions to making recommendations and providing background for board decisions.
Southern Oregon University Boards
Southern Oregon University has three boards, a governing board in common with the other six public universities in Oregon, a foundation board focused on raising private support to strengthen SOU and student opportunity, and an SOU advisory board to broaden and deepen the expertise available to the administration as it shapes and positions the institution, seizes opportunities and overcomes challenges.
The Friends of the Schneider Museum is one of the established SOU Foundation Board's several affiliates. It operates as part of the Foundation's not for profit corporation status. While the Director of the Schneider Museum of Art (SMA) reports to the academic dean, and while the Advisory Board operates under the Foundation auspices and leadership for purposes of raising funds and advancement of the institution; the Friends of the SMA work closely, in partnership with both, to carry out the mission and purposes of the Schneider Museum. The Advisory Board of the Friends of the SMA represents the partnership of the community and the university specified in the Mission of the Schneider Museum of Art.
Within that partnership, the SMA Advisory Board?s purposes are to support the Schneider Museum of Art as a regional focus for the visual arts, assist in fundraising efforts of the SMA, promote membership in the Friends of the Museum, encourage participation in the Museum and its programs, and advise the Museum Director and Staff of directions the Museum might take to meet the cultural, aesthetic and educational needs of residents in surrounding communities.
